Terms of Use & Service Agreement

Welcome to AlphaVow. These Terms of Use ("Terms") apply to your access to and use of the AlphaVow official website and all desktop software applications provided by AlphaVow Inc. (including AlphaVow Photo RAW, NoNoise AI, Resize AI, Effects AI, Portrait AI, and others, collectively referred to as "Services").

By registering an account, purchasing a license, downloading, installing, or using any part of our software, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

To license software or use online features, you must register a secure account and maintain the confidentiality of your credentials:

• Account Security: You are solely responsible for all activities conducted under your account. You must notify us immediately of any unauthorized usage or security breach.
• Confidentiality of Serial Keys: The activation keys issued to you are highly sensitive. If we detect that a license key has been publicly shared, posted on forums, or redistributed in sharing clubs, AlphaVow reserves the absolute right to terminate and black-list that license key immediately without compensation.
• Single-User Rule: Registered accounts are issued strictly to a single legal entity (either a single person or a registered Team plan member) and must not be shared among multiple individuals.

All proprietary materials, texts, graphical interfaces, branding elements, source code, binary algorithms, and trademark designs compiled within our website and software applications are the exclusive intellectual property of AlphaVow Inc. and its licensors, protected fully by international copyright, patent, and trademark laws.

To preserve the security, integrity, and safety of our online Services and licensing servers, you must adhere strictly to these acceptable use rules:

• No Cyber-Attacks: You must not attempt to bypass software licensing checks, host denial-of-service (DDoS) attacks against our activation portals, or transmit malicious code, malware, or backdoors.
• No Scraping or Crawling: You must not leverage web crawlers, indexers, robots, scraping scrapers, or automated data harvest software to scrape pricing databases, documentation directories, or premium video courses.
• No Promotional Abuse: You must not create fraudulent dummy accounts via temporary emails to farm beta registration invitation codes or abuse launch specials.

To ensure the health of the AlphaVow service ecosystem and the fair allocation of cloud computing power, our software subscriptions and account credits operate strictly on a "pre-paid, consumption-based" digital goods delivery mechanism. Please review our Credits Recharge & No-Refund Agreement carefully before purchasing or recharging:

• Nature and Purpose of Credits: Recharged credits (Credits) are strictly virtual tokens used to consume AI image processing and value-added services on the AlphaVow platform. Credits have no legal tender properties, and you may not trade, lease, resell, or transfer credits to any third-party or on any unofficial channels under any circumstances.
• Subscriptions & Credit Recharges are Non-Refundable: You acknowledge and agree that once subscription fees are charged or account credits are successfully recharged, all transactions are final, non-refundable, non-exchangeable for fiat currencies, and non-transferable under any circumstances. Once delivered, digital goods and virtual credits are deemed fully consumed, and no refund requests will be accepted except as explicitly mandated by local consumer protection laws.
• Value-Added Services Non-Returnable: Except as explicitly required by law, any paid services purchased (including specific AI processing quotas, membership subscription periods, custom tools, etc.) cannot be returned, refunded in credits, or exchanged for other services once the transaction is complete.
• Wrong Account Input & Operating Error Disclaimer: You must carefully verify your account ID, billing amount, and selected service options before completing the transaction. AlphaVow shall not be liable or provide any refunds, credits, or compensation for financial losses due to account mistyping, improper operations, or misunderstandings of our pricing structures.
• Recharge Anomalies & System Failures: In the event of system downtime, upgrades, or temporary glitches in the platform billing system that cause discrepancy between your payment and credited balance, AlphaVow will adjust the balance strictly in accordance with verified official database records once the system is restored and upon receipt of valid proofs from the user: under-credited balances will be compensated, and over-credited balances will be retrieved or deducted.
• Account Suspension & Deletion Asset Forfeiture: If your account is temporarily or permanently suspended due to violation of these Terms or applicable laws, or if you voluntarily apply to delete/cancel your account, all unused subscription periods, membership rights, and remaining credits will be automatically forfeited, frozen, and cleared without refund, cash redemption, or any form of compensation.

As a user of AlphaVow, you must strictly comply with and perform the following obligations when accessing the "Platform" or using the Services:

• Content Publication Restrictions: You must not post violent, nude, partially nude, discriminatory, unlawful, infringing, hateful, pornographic or sexually suggestive photos or any other inappropriate (intended for a broad audience) content through the Service or the "Platform".
• Account Security and Accuracy: You are responsible for all activity that occurs through your account and you agree you will not sell, transfer, license or assign your account. You also represent that all information you provide or provided to us upon registration and at all other times is true, accurate, current and complete and you agree to update your information as necessary to maintain its truth and accuracy.
• Anti-Harassment: You must not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate people or entities and you must not post private or confidential information belonging to yourself or any other person.
• Sole Conduct Responsibility: You are solely responsible for your conduct and any user content that you submit, post or display on or through the Service or the "Platform", and we shall have no liability to you or any third party in connection therewith.
• System Integrity: You must not interfere with or disrupt the Service or the "Platform", including by transmitting any worms, viruses, spyware, malware or any other code of a destructive or disruptive nature.
• Violation Penalties & Risk: Violation of these Terms may result in the termination of your AlphaVow account at our sole discretion. You understand and agree that we cannot and will not be responsible for the content posted on the Service or the "Platform" and you use the Service or the "Platform" at your own risk. If you violate the letter or spirit of these Terms, or otherwise create risk or possible legal exposure for us, we may stop providing all or part of the Service to you.
• Legal Authority: You represent, warrant and agree that: (a) you have full power and authority to accept these Terms, grant any license and authorization (if required), and perform your obligations under these Terms; (b) your access and use of the "Platform" and Services shall be limited to permitted purposes; and (c) for commercial entity users, the address provided at registration is the principal place of business of your commercial entity. Branches or liaison offices are not considered independent entities.
• Information Submission: You represent, warrant and agree that: (a) all information and materials submitted during the registration process or thereafter are true, accurate, current and complete; and (b) you will maintain and promptly update all information and materials to ensure they remain true, accurate, current and complete.
• Database Inclusion: You agree to include your contact information in our database and authorize us and our affiliates to share contact information with other users or otherwise use your personal information in accordance with our Privacy Policy.
• Compliance Specifications: You further represent, warrant and agree that you shall:
  • 6.10.1. Comply with all applicable laws and regulations when conducting activities on the "Platform";
  • 6.10.2. Conduct activities in accordance with these Terms and any applicable specific terms;
  • 6.10.3. Not use the Services or the "Platform" to defraud any individual or entity (including stolen credit/debit cards);
  • 6.10.4. Not impersonate any person or entity, or misrepresent yourself or your relationship with any person or entity;
  • 6.10.5. Not engage in spamming or phishing activities;
  • 6.10.6. Not engage in any other illegal activities, or encourage or abet any illegal activities;
  • 6.10.7. Not attempt to copy, exploit or expropriate our proprietary directories, databases and listings;
  • 6.10.8. Not involve any computer viruses or other destructive devices and codes;
  • 6.10.9. Not involve any scheme that undermines data, system or network integrity;
  • 6.10.10. Ensure directors, controlling parties, and affiliates are not subject to economic or fraudulent sanctions;
  • 6.10.11. Not engage in any activities that could cause us or our affiliates to incur any liability.
• Non-Competition: You must not use the "Platform", Services, or user account to engage in activities that are the same as or similar to our business.
• Cooperation & Assistance: You agree to provide all necessary information, materials, and approvals, and render all reasonable assistance and cooperation necessary for us to provide the Services.
• Active Monitoring & Discretion: We reserve the right (but have no obligation) to actively monitor or exercise editorial control over the content of any information, materials, or data (including user content) created, acquired, or accessed.
• Compliance with Local Laws: You shall be solely responsible for complying with the applicable laws and regulations of your jurisdiction.
• Global Trade & Export Compliance: You represent, warrant and agree that:
  • 6.15.1. You and your affiliates comply with applicable laws regarding safety, IP, privacy, certified import/export control, environment, anti-bribery, and anti-money laundering.
  • 6.15.2. You are not subject to trade restrictions, sanctions, or other legal restrictions enacted or proposed by any Relevant Subject;
  • 6.15.3. You do not directly or indirectly trade with, or provide any funds, goods, or services to, the Relevant Subject;
  • 6.15.4. You comply with all applicable export control and sanctions laws and regulations of the UN, PRC, USA, and other countries;
  • 6.15.5. If you fail to meet any requirements, you must immediately stop using the Services or the "Platform". We reserve the right to suspend or terminate services at our sole discretion.

If a user violates these terms, AlphaVow reserves the right to take appropriate corrective and disciplinary measures without incurring any liability:

• Right to Remove or Reject Content: We reserve the right to remove, modify, or reject any user content if we have reason to believe that such content violates laws, these Terms, infringes third-party rights, or harms our or our affiliates' interests.
• Account and Service Sanctions: If you violate any terms, we have the right to suspend or terminate your account, limit or downgrade your subscription, restrict your access to any Services, or take any other disciplinary actions we deem appropriate.
• Presumption of Violation: You shall be deemed in violation of these Terms under any of the following circumstances:
  • 7.3.1. Stolen credit cards or false billing info are suspected to be used in any transactions;
  • 7.3.2. Information provided is suspected to be outdated, incomplete, untrue, or misleading;
  • 7.3.3. Actions may cause economic loss or legal liability to us, our affiliates, or other users;
  • 7.3.4. Necessary rights and licenses for your content are not fully owned or acquired by you.
• Cooperation with Authorities: We reserve the right to fully cooperate with government or regulatory authorities, law enforcement agencies, or private investigators. We may disclose your identity or transaction details under legal proceedings or subpoenas without liability.
• Indemnification: You agree to indemnify, defend, and hold harmless us, our affiliates, and representatives from all losses, damages, claims, and liabilities arising out of your content, access, or violations.
• Material Transmission Disclaimer: We assume no responsibility or liability for fraudulent, untruthful, misleading, or illegal user content transmitted. The risk of damage rests entirely with the user.
• Mandatory Provision of Transaction Details: You agree to provide all information and materials requested in connection with your transactions. Failure to do so may lead to account suspension or termination.

To the maximum extent permitted by applicable laws, our legal relationship is subject to these legal protections and disclaimers:

• Software Provided "AS IS": All website features and licensed desktop software products are delivered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied (including suitability for specific non-standard hardware setups or absolute absence of minor software bugs).
• Limitation of Liability: Under no circumstances (except direct physical personal injuries proven to be caused by our intentional malicious gross negligence) shall AlphaVow Inc., its officers, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, commercial interruption, or loss of creative assets. In all situations, **AlphaVow's maximum aggregate liability shall not exceed the actual monetary amount you paid us to license the specific software product**.
• Governing Law & Jurisdiction: These Terms shall be interpreted, construed, and enforced in accordance with the **laws of the State of Oregon, USA**, without regard to conflict of laws principles. Any legal suit, action, or proceeding arising out of or related to these Terms must be instituted exclusively in the state or federal courts located in Portland, Oregon.
